End User License Agreement

This End User License Agreement ("Agreement") is between you and Laudenslager Software, LLC, a Pennsylvania limited liability company ("we," "us," "our"), and governs your use of any software product you license from lauden.dev (each, the "Software").
1. Grant of License
Subject to your compliance with this Agreement, we grant you a non-exclusive, perpetual license to install and use the Software on the number of devices equal to the number of seats included with your purchase, as stated at checkout.
This is a license, not a sale of the Software itself — but it is granted permanently, for a one-time payment, with no subscription, no expiration date, and no requirement to remain connected to our servers or continue paying us anything to keep using it.
2. Activation and Seats
Each license includes a fixed number of seats — the number of devices that may run the Software simultaneously under that license. Using the Software for the first time on a device requires a one-time online activation, which verifies your license key and registers that device against one of your available seats.
Once a device is activated, the Software runs entirely offline. No further connection to our servers is required for that device to keep working, indefinitely, for as long as you use it — unless you choose to deactivate it.
If you attempt to activate the Software on more devices than your license has seats for, activation on the additional device will be refused. You may free a seat at any time by deactivating one of your existing devices; see Section 3.
3. Deactivation and Transfer
You may deactivate the Software on any device at any time, which frees that seat for use on another device. Once deactivated, you may transfer that seat to a different device — including a device belonging to someone else. We treat this the same way reselling a physical, secondhand copy of software has always worked: once you've deactivated your seat, another person may activate and use it, and we do not track or restrict who that person is.
We do not offer a self-service option to reactivate a device after an operating system reinstallation, since a reinstall produces a new device fingerprint that our system cannot automatically recognize as the same machine. Contact us for a manual reset in this situation.
4. What This License Does Not Permit
- Using more simultaneous devices than your license's seat count allows.
- Publicly sharing, publishing, or distributing your license key such that people who did not purchase it can activate copies of the Software.
- Reverse engineering, decompiling, or disassembling the Software, except to the extent applicable law expressly permits despite this restriction.
- Removing or altering any copyright, trademark, or other proprietary notice contained in the Software.
5. Revocation
We may revoke a license in cases of payment fraud or a successful chargeback dispute. A revoked license will be refused on any future activation attempt. Revocation does not retroactively disable a device that was already activated before the revocation took effect — see our Refund Policy for how disputes and refunds are handled before revocation becomes necessary.
6. Ownership
We retain all right, title, and interest in and to the Software itself, including all intellectual property rights. This Agreement grants you the license described in Section 1 — not ownership of the Software's underlying code or intellectual property. What you own outright is the license itself: paid for once, yours permanently, with no ongoing obligation to us.
7. No Warranty
The Software is provided "as is," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted.
8. Limitation of Liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Software, even if advised of the possibility of such damages. Our total liability arising out of this Agreement will not exceed the amount you actually paid for the Software giving rise to the claim.
9. Termination
This license terminates automatically if you materially breach this Agreement and fail to cure that breach within a reasonable time after notice from us. Upon termination, you must stop using the Software and deactivate all devices running it.
10. Governing Law
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.
